The Opportunity 

This is a great opportunity for a Legal Counsel, Business Banking to develop or advance their in-house legal career in a fast-paced banking environment. As Legal Counsel, Business Banking, you’ll work closely with, and under the supervision of, our Head of Legal and Senior Legal Counsel to provide commercial, pragmatic legal advice to the Bank’s Business Banking team. Your focus will be on supporting commercial lending transactions (including syndicated loans and project finance), reviewing security documents, and acting as a point of contact for legal queries - corresponding with Relationship Managers, external Panel Solicitors, and internal teams.

 

You’ll also advise on property-related matters, such as commercial leases, and play a key role in shaping the legal framework for high-value transactions. Ideal for a banking and finance lawyer (with real estate finance experience preferred), this role offers hands-on exposure to complex deals and the chance to build a broad in-house legal skillset.

 

This role offers the benefits of flexible hybrid working, with an expectation to be in our Bristol office 1-2 days a week and the option to work from home on the other days.

 

Key Responsibilities

  • Working alongside the Head of Legal and Senior Legal Counsel, you will provide specialist end-to-end legal support to our Business Banking lending transactions (£5M–£40M+), including syndicated loans, project finance, and security documentation, ensuring deals progress efficiently to completion.
  • Act as a legal contact (under supervision) for Relationship Managers, external panel solicitors, and internal teams - triaging queries, coordinating fee quotes with external panel solicitors, and resolving bottlenecks to meet deadlines.
  • Review and assist the negotiation of facility agreements, security and ancillary documents, and Reports on Title, flagging risks and proposing solutions to protect the Bank’s interests.
  • You may be asked to provide ad hoc legal support on transactions below £5M. 
  • Support Lending Operations by ensuring loan documentation (including sub-£1M facilities) complies with credit sanctions, Bank policy, and regulatory requirements.
  • Provide ad hoc legal advice on property matters (e.g., commercial leases), NDAs, Powers of Attorney, and enforcement scenarios for Business Banking loans.
  • Assist with the management of Bank’s Power of Attorney process – with a particular focus on Business Banking. 
  • Assist with the maintenance of legal precedents, policies, and processes to align with regulatory changes and Triodos’ values, while ensuring robust file management and governance.
  • Collaborate cross-functionally with Risk, Middle Office, and Specialist Asset Management teams to proactively identify and resolve legal/policy issues.
  • Contribute to wider Bank initiatives, including strategic projects and regulatory compliance (e.g., Consumer Duty), as directed and supervised by the Head of Legal.

 

What We’re Looking For

We’re seeking a Legal Counsel, Business Banking who is a UK-qualified solicitor with 1–3 years’ PQE (in-house or private practice) and a strong background in real estate, real estate finance or banking and finance law. As Legal Counsel, you’ll have hands-on experience documenting, negotiating, and closing bespoke commercial lending facilities (e.g., acquisition finance, project finance, or development finance) for banks or financial institutions - ideally with exposure to LMA documentation and market conventions. 

While not essential, familiarity with PRA/FCA banking regulations or experience in Triodos’ specialist sectors (wellbeing, nature/food/resources, society, energy, or project finance) would be advantageous.

You’ll be a confident communicator, able to draft, review, and negotiate complex loan and security documents with appropriate supervision while collaborating effectively with internal teams, external solicitors, and senior stakeholders. We value pragmatism, attention to detail, and the ability to manage a high-volume workload - balancing appropriate autonomy with teamwork to drive deals forward.

 

What We Offer:

In return for your hard work and expertise, you will receive a full-time equivalent of £50,000 – £58,000  depending on experience, plus access to our extensive benefits package, where most of our benefits are non-contributory.
